Legal
The client portal is where you follow your project, share files, and approve designs and changes. These terms explain how it works, and what it means to approve or sign something in it.
Effective: [Effective date pending: set on sign-off]
[Draft pending review by counsel and Baha]
Your contract comes first
The portal supports a project that is governed by its own written contract with baa atelier ([Legal entity name and state of formation pending: Baha to confirm]; contractor license [License No. pending: Baha to confirm]). If anything in the portal or in these terms conflicts with that contract, the contract wins. The portal is a way of keeping the project’s records and decisions in one place; it does not replace the contract.
Your account
- Accounts are created by the studio for its clients. Each account is for one person.
- Keep your password private and do not let anyone else sign in as you. Anything approved or signed from your account is treated as done by you. If you think someone else has used it, change your password and tell us at once.
- If your email address changes, tell us so we can update your account, because we use it to reach you and to reset your password.
Consent to electronic records and signatures
What you are agreeing to. By using the portal to approve or sign designs, approvals or change orders, you agree that we may provide those documents to you electronically, and that your approval in the portal is your electronic signature, with the same effect as signing on paper. This consent covers the documents for your project that we make available in the portal. It does not cover anything the law requires us to give you on paper.
What a signature in the portal records. When you approve and sign, we record the name you type, the signature you draw, the account you were signed in with, the date and time (set by our server, not your device), your IP address and browser, and a fingerprint (a SHA-256 hash) of exactly what you were shown. Designs are versioned and never edited after they are shown to you, so the record always points at the version you saw. If you ask for a change instead, we record your comment in the same way. A change order is complete when the studio countersigns it, which is recorded the same way.
What you need. A current version of Chrome, Safari, Firefox or Edge with JavaScript turned on, an internet connection, an email address, and a way to open or save PDF files and images if you want to keep copies. If these requirements change in a way that could stop you seeing or keeping your records, we will tell you before the change, and you may then withdraw your consent without paying any fee or charge for withdrawing.
Getting copies. You can see the status of your approvals in the portal at any time, and every document you sign there has a signed copy you can download or print, showing what you signed, your signature record and, for a change order, the studio’s countersignature. You can also ask us for a copy of any document you approved or signed, together with its signature record, or for a paper copy of any electronic record, by emailing info@atelierbaa.com or calling (323) 497-3794. We will send it within [Turnaround pending: Baha to confirm, proposed 5 business days]. Cost: [Fee for paper copies: Baha to confirm, proposed free of charge].
Withdrawing your consent. You may withdraw your consent to electronic records and signatures at any time by telling us in writing at info@atelierbaa.com. Withdrawing does not affect anything you approved or signed before we received your notice. After that, we will send you documents to sign on paper, which can take longer and may slow decisions on your project, and we may close your signing access in the portal.
Prefer paper? You never have to sign electronically. Tell us and we will arrange a paper document instead.
Files and messages you share
- Upload only photos and documents you have the right to share, and nothing unlawful or harmful. The portal accepts images (JPEG, PNG, WebP, HEIC) and PDFs up to 25 MB.
- You keep ownership of what you upload. You allow the studio and the people working on your project to use it for your project.
- Designs, drawings, samples and photographs prepared by the studio remain the studio’s work unless your contract says otherwise.
- Messages in the portal are for the project. For anything urgent on site, call (323) 497-3794.
Invoices and payments
The portal shows invoices and a record of payments received. It does not take payments and never asks for card or bank details. If you ever receive a message asking you to pay to new bank details, call us on a number you already know before paying anything.
Availability and access
We aim to keep the portal available but cannot promise it will never be interrupted. We may suspend an account to protect its security or the portal. After your project is finished we may close portal access; ask us before then if you want copies of anything, and signed records remain available on request as described above.
Privacy
What the portal stores and how long we keep it is set out in the Privacy Policy.
Changes and contact
If we change these terms in a way that matters to you, we will tell you in the portal or by email before the change applies to new approvals. Questions: info@atelierbaa.com.
